These terms govern the purchase and use of Easy-Post Desktop, a desktop software application supplied by Spencer Fields, a sole trader established in the United Kingdom ("the Supplier"). Purchasing or using the application constitutes acceptance of these terms.
Orders for Easy-Post Desktop are fulfilled by Paddle.com Market Ltd, the Supplier's authorised reseller and Merchant of Record. Paddle is the seller of record for every order, and is responsible for billing, invoicing, payment processing and the collection and remittance of any applicable sales tax or value added tax. Paddle's own buyer terms apply to the payment transaction in addition to these terms.
On payment in full, the Supplier grants a non-exclusive, non-transferable licence to install and use Easy-Post Desktop for personal or internal business purposes, on either Windows or macOS.
Each licence covers a maximum number of computers, determined by the tier purchased and stated at the point of sale:
A computer occupies one of those places from the point the application is first activated on it. A place may be released at any time from within the application, and is then available for another computer. A computer that has not been used for six months releases its place automatically.
The Personal tier is granted perpetually and does not expire. The Business and Organisation tiers are granted for the subscription period paid for, and continue for so long as the subscription remains in force under clause 2A.
The licence key issued is personal to the purchaser and must not be shared, resold, published or distributed. The Supplier reserves the right to revoke a licence key that has been distributed publicly.
Renewal. The Business and Organisation tiers are annual subscriptions. Unless cancelled, they renew automatically each year and the payment method on file is charged the then-current price for a further twelve months. Paddle, as Merchant of Record, sends a reminder before each renewal is taken.
Cancellation. A subscription may be cancelled at any time, without reason, using the management link in the purchase receipt or by contacting the Supplier. Cancellation takes effect at the end of the period already paid for; access continues until that date and is not cut short.
Price changes. The renewal price will not change without at least 30 days' notice by email before the renewal date, giving the purchaser the opportunity to cancel first.
Failed payment. If a renewal payment fails, the application continues to work during a short grace period while the payment is retried. If the subscription is not brought back into good standing, access ends and the application will state why. The licence key is not invalidated: resuming the subscription restores access using the same key, with no new key required.
After a subscription ends. Data created with the application — the local database, saved labels and exported files — belongs to the purchaser, remains on their computers and is not deleted, altered or made inaccessible by the Supplier when a subscription ends.
The source code of Easy-Post Desktop is published separately under the MIT licence at github.com/sgf36/EasyPost. Nothing in these terms restricts any right granted by that licence in respect of the source code itself.
Easy-Post Desktop is an independent client application. The Supplier is not affiliated with, endorsed by, or an agent or reseller of EasyPost Inc, nor of any shipping carrier.
Use of the application requires a separate EasyPost account, obtained directly and governed by EasyPost's own terms. All postage, insurance, carrier charges and account fees are transacted through that EasyPost account and billed by EasyPost. The Supplier receives no part of those amounts and has no control over rates, service availability, delivery performance or carrier decisions.
Carrier names are used within the application solely to identify the services being quoted. All carrier names, marks and logos remain the property of their respective owners.
Updates and bug fixes are provided at the Supplier's discretion and are included at no further charge for the licensed version. The Supplier does not guarantee that any particular feature will be maintained indefinitely, nor that the application will remain compatible with future changes made by EasyPost, by a carrier or by an operating system vendor.
Easy-Post Desktop is supplied "as is". To the fullest extent permitted by law, the Supplier makes no warranty that the application will be uninterrupted, error free, or fit for any particular purpose.
The application includes a Harmonized Tariff Schedule lookup and customs declaration assistance. These are reference conveniences only and do not constitute customs, legal or tax advice. Correct classification and declaration remain the responsibility of the shipper.
To the fullest extent permitted by law, the Supplier's total liability arising out of or in connection with the application, whether in contract, tort or otherwise, is limited to the amount actually paid for the licence.
The Supplier is not liable for postage purchased in error, for labels bought against the wrong rate or address, for carrier delays, losses or damage, for refused or delayed customs clearance, or for any indirect or consequential loss including loss of profit or business interruption.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded. Statutory rights available to consumers are unaffected.
Purchases are covered by a 30-day money-back guarantee, set out in full in the refund policy, which forms part of these terms. For subscriptions, that guarantee applies to the initial purchase; cancellation of a renewal is governed by clause 2A.
These terms may be revised from time to time. The version in force at the date of purchase governs that purchase. Material changes will be reflected in the "last updated" date above.
These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, save that a consumer resident elsewhere retains the benefit of any mandatory protections of the law of their country of residence.
